01Scope of Offerings & Dual Architecture

Amaris Brand Creation operates as a unified hybrid ecosystem combining:

• High-Craft Creative Agency:Bespoke Brand Architecture & Visual DNA systems, Cinematic UI/UX & 3D Motion, Custom Next.js 340ms web application engineering, and enterprise marketing pipelines.
• Autonomous AI SaaS Ecosystem: Amaris Website Intelligence (AWI 55-point forensic crawler), Brand Studio (vector identity and brand manual generator), SEO Autopilot (24/7 autonomous search rank compounder), and the Amaris AI Workforce (autonomous agent fleet and AI Commander orchestration hub).

These Terms apply uniformly across both subscription software utilization and custom contractual agency engagements, complemented by our Cancellation & Refund Policy and Service Level Agreement.

03AI Workforce, Autonomous Fleet & Governance

Amaris provides access to an autonomous AI Workforce comprising specialized agents (including AI Commander, Lead Hunter, Telecaller AI, CRM Orchestrator, and Content Agents). Your use of these tools is subject to our dedicated AI Terms of Service and the following foundational rules:

• Customer Data Privacy & Non-Training: Prompts, contextual documentation, and business data fed into our AI Workforce are processed via secure zero-data-retention enterprise APIs. Your data is never used to train third-party foundation models.
• Human Oversight & Verification: While our agents execute automated workflows with high precision, AI models may occasionally generate inaccurate or synthetic data. You maintain ultimate responsibility for reviewing and approving sensitive outputs (e.g., contracts, outbound legal representations, or clinical advice).
• Voice & Telephony Compliance: Outbound AI Telecaller agents must only be operated in compliance with applicable telecommunication laws, including TCPA (United States), TRAI DND regulations (India), and EU opt-in consent mandates. Unsolicited robocalling or deceptive voice cloning is strictly prohibited.

04Intellectual Property & Ownership

Third-party licensed assets (commercial fonts, stock cinematography, third-party libraries) remain subject to their respective vendor licenses and may require independent client font seat licensing for desktop print distribution.

05Custom Engineering Services & Project Timelines

1. Estimates & Scope: All project estimates, proposals, and sprint scopes are based on mutual requirements defined at discovery. Changes in functionality, architecture additions, or new deliverables after project kickoff will be quoted via formal Change Order requests.
2. Client Responsibilities & Delays: Timely project delivery requires timely provision of client assets, copy, API credentials, and review feedback. If a project is stalled for more than two consecutive weeks due to lack of client response, an administrative reactivation fee (₹4,500 / $60 USD per week) may apply.
3. Post-Launch Warranty: We provide a 14-day complimentary bug-fix warranty on custom engineering following production launch to address any reproducible functional discrepancies from the approved project brief. Subsequent modifications are billed under ongoing maintenance retainers.

06Billing, Invoicing, Gateways & Taxes

• Currencies: Services are quoted and invoiced in United States Dollars (USD) or Indian Rupees (INR) as designated on official quotes.
• Applicable Taxes: Invoices issued to entities in India are subject to 18% Goods and Services Tax (GST). International clients are responsible for any applicable withholding taxes, reverse-charge VAT, or cross-border import dues.
• Payment Milestones: Custom agency engagements require an initial 50% advance deposit prior to creative sprint initiation, with the remaining 50% due upon milestone approval and prior to live code release or vector asset handover.
• Late Invoices: Unpaid invoices past 7 business days from due date incur a 5% late surcharge per 3-day delinquency window. Sustained non-payment will result in suspension of hosting, staging environments, and API access.

07Acceptable Use, Rate Limits & Security Standards

You agree not to reverse engineer, decompile, scrape without authorization, launch denial-of-service attacks, bypass API rate limits, or deploy our AI agents for prohibited activities (including fraud, malicious software, malware delivery, non-consensual voice generation, or harassment). Violation will result in instant account termination and referral to law enforcement. Review our full Acceptable Use Policy.

08Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

AMARIS SERVICES, SAAS PLATFORMS, AND DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL AMARIS BRAND CREATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS INTERRUPTION). IN ANY EVENT, AMARIS'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO AMARIS IN THE THREE (3) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

09Governing Law, Jurisdiction & Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India and the State of Andhra Pradesh, without giving effect to conflicts of laws principles. The parties agree that the competent courts in Visakhapatnam, Andhra Pradesh, India shall have exclusive jurisdiction over any disputes arising from these Terms, provided that Amaris reserves the right to seek injunctive relief or file collection actions in any competent jurisdiction where the Client resides or maintains assets.
